11. Governing Law; Venue; Dispute Resolution.
These Terms shall be governed by the laws of the State of Colorado without regard to conflicts of law principles. Any disputes shall be resolved as follows:
(a) Mediation. The parties shall first submit disputes to non-binding mediation in Denver, Colorado.
(b) Arbitration. If mediation fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Judgment may be entered on any arbitral award.
(c) Waivers. You irrevocably waive any right to a jury trial or to participate in class, collective, consolidated, or representative proceedings.
12. Amendments.
The Company may amend or update these Terms from time to time in its sole discretion. Any amendments will be effective upon posting with a revised “Last Updated” date. Continued use of the Website after posting constitutes acceptance of the revised Terms.
13. Force Majeure.
The Company shall not be liable or deemed in breach for failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, epidemics, wars, terrorism, labor disputes, outages, or governmental actions.
14. Severability.
If any provision of these Terms is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall remain in full force and effect. 15. Export Control and International Use.
